Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Central Components Manufacturing ("Company," "we," "us," or "our") and you ("Customer," "you," or "your") governing your access to and use of our products, services, and website.

By submitting a purchase order, requesting a quote, or otherwise engaging with Central Components Manufacturing, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

We reserve the right to update these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the revised Terms.

Central Components Manufacturing offers standard off-the-shelf connectors, cable assemblies, and related components, as well as custom-engineered solutions designed to customer specifications.

Product specifications, including dimensions, materials, and electrical ratings, are provided in good faith based on available data. We recommend customers independently verify specifications for critical applications.

All prices are quoted in USD unless otherwise specified. Quoted prices are valid for 30 days from the date of issuance unless otherwise stated in writing.

Prices do not include applicable taxes, duties, freight, or handling charges unless explicitly stated. Customer is responsible for all applicable taxes and import duties.

Central Components Manufacturing ships globally. Delivery timelines are estimates and not guaranteed unless otherwise agreed in writing. Lead times for standard products and custom assemblies will be confirmed at the time of order acknowledgment.

Unless otherwise specified, all shipments are made FOB Origin. Risk of loss and title pass to Customer upon delivery to the carrier. We are not liable for delays caused by carriers, customs, or circumstances beyond our control.

Expedited shipping is available upon request and subject to additional charges. Partial shipments may be made where appropriate, and each shipment may be invoiced separately.

Central Components Manufacturing warrants that its products will conform to agreed specifications and be free from defects in materials and workmanship for a period of twelve (12) months from the date of shipment, unless a different warranty period is specified in writing.

THE FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

All returns require a Return Merchandise Authorization (RMA) number issued by Central Components Manufacturing prior to shipment. Unauthorized returns will not be accepted and may be returned at Customer's expense.

Claims for shortages, incorrect shipments, or visible damage must be submitted in writing within 10 business days of receipt of goods. Warranty claims must be submitted within the applicable warranty period.

Approved returns of standard, unmodified products in original packaging may be subject to a restocking fee of up to 20%. Custom-manufactured products are non-returnable unless defective.

Upon approval of a warranty claim, our sole obligation is, at our discretion, to repair or replace the defective product, or issue a credit for the purchase price.

All designs, drawings, specifications, tooling, and technical documentation created by Central Components Manufacturing remain the exclusive intellectual property of the Company, unless a separate written agreement expressly transfers ownership to the Customer.

Customer-supplied designs and specifications remain the property of the Customer. By submitting designs to us, Customer warrants that it has the right to use and disclose such designs and that their use by Central Components Manufacturing will not infringe any third-party intellectual property rights.

Customer indemnifies and holds Central Components Manufacturing harmless from any claims arising from the manufacture of products based on Customer-supplied designs.

Each party agrees to hold in confidence any proprietary or confidential information disclosed by the other party in connection with the business relationship, and not to disclose such information to any third party without prior written consent.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order. Confidentiality obligations survive termination of the business relationship for a period of three (3) years.

For projects requiring formal non-disclosure protection, we encourage customers to execute a separate Non-Disclosure Agreement (NDA) prior to sharing sensitive design information.

Our total cumulative liability to Customer for any claims arising under or related to these Terms or any order shall not exceed the total amount paid by Customer for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in [City, State]. The arbitrator's decision shall be final and binding on both parties.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
