Professional terms governing B2B manufacturing services for electronic connectors, wire harnesses, and cable assemblies

Agreement Overview

These Terms of Service ("Terms") govern the business relationship between EDOM Electronics ("Company," "we," "us") and our business partners ("Client," "you," "your") for the provision of electronic connector manufacturing, wire harness assembly, and customized cable solutions. By engaging our services, you agree to be bound by these terms.

Service Scope & Manufacturing

Manufacturing Services: We provide electronic connectors, wire harnesses, and USB cable assemblies through qualified cooperative production partners.

Custom Solutions: New tooling development, precision overmolding, and connector solutions equivalent to industry standards (Molex, JST, TE, Amphenol).

Quality Standards: All wire harnesses comply with IPC/WHMA-A-620E standards. Strict quality management applies to all assemblies.

Target Markets: Services are designed for OEM companies, distributors, and large-volume industrial buyers in Europe and North America.

Order Process & Technical Requirements

Technical Specifications: Client must provide detailed technical drawings, specifications, and performance requirements for all custom manufacturing requests.

Quotation Process: All pricing is provided through formal quotations valid for 30 days unless otherwise specified.

Minimum Orders: Manufacturing services are optimized for large-volume production. Minimum order quantities apply based on product complexity.

Lead Times: Production schedules are confirmed upon order acceptance and may vary based on tooling requirements and order volume.

Payment Terms & Pricing

Payment Schedule: Standard terms are 30% deposit upon order confirmation, 70% balance before shipment unless alternative arrangements are agreed in writing.

Tooling Costs: Custom tooling development costs are separate from unit pricing and require full payment before tooling commencement.

Currency: All pricing is quoted in USD unless otherwise specified. Exchange rate fluctuations may affect pricing for long-term contracts.

Late Payments: Overdue accounts may incur service charges and affect future order processing and delivery schedules.

Quality Assurance & Warranties

Manufacturing Standards: All products are manufactured under strict quality management systems to ensure professional equipment grade performance.

Inspection Rights: Client may inspect products before shipment with reasonable advance notice and at client's expense.

Defect Resolution: Manufacturing defects reported within 90 days of delivery will be addressed through replacement or repair at our discretion.

Performance Warranty: Products are warranted to meet agreed specifications under normal operating conditions for 12 months from delivery date.

Intellectual Property & Confidentiality

Client IP Rights: All client-provided designs, specifications, and technical information remain the exclusive property of the client.

Confidentiality: We maintain strict confidentiality regarding all client technical information, business requirements, and commercial terms.

Manufacturing IP: Our manufacturing processes, tooling designs, and production methods remain our proprietary information.

Non-Disclosure: Both parties agree not to disclose confidential information to third parties without written consent.

Shipping & Delivery Terms

Delivery Terms: Standard shipping terms are EXW (Ex Works) from our manufacturing facility unless otherwise agreed in writing.

Shipping Arrangements: Client is responsible for all shipping, insurance, and customs arrangements unless alternative terms are specified.

Delivery Schedules: We commit to agreed delivery schedules but are not liable for delays caused by force majeure, client changes, or supply chain disruptions.

Risk Transfer: Risk of loss transfers to client upon delivery to the agreed shipping point.

Limitation of Liability

Liability Limits: Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim.

Consequential Damages: We are not liable for indirect, consequential, or special damages including lost profits or business interruption.

Professional Use: Products are designed for professional equipment applications. Client assumes responsibility for proper integration and use.

Third Party Claims: Client agrees to indemnify us against claims arising from client's use of products in their applications.

Contract Terms & Modifications

Contract Formation: Each purchase order accepted by us forms a separate contract governed by these terms.

Modifications: Changes to orders must be agreed in writing and may affect pricing and delivery schedules.

Cancellation: Order cancellations may incur charges for work performed, materials purchased, and tooling development.

Term Updates: These terms may be updated periodically. Current terms apply to all new orders.
